Board evaluation
The Good Governance Forum together with the Chairman’s Forum have been continuing the work on board evaluation. This follows on from the Chairman’s Forum roundtable held in September 2014 that was chaired by Sir David Walker. This established nine key themes around board evaluation which we have been testing in a series of discussions with chairmen, investors and company secretaries.
At the December meeting we presented our initial conclusions for the discussion ahead of drafting a short guide for chairman exploring what good boardroom evaluation looks like.
Limited liability – the role of purpose, regulation, directors’ duties and reflections on the Board Mandate
Originally limited liability was not intended to be a free good but was an instrument designed to enable capital to serve the public good. So what has happened and are we at a point where the purpose of limited liability should be reassessed?
For this discussion we were joined by Guy Beringer, Non-executive Chair of UK Export Finance, Chair of the Legal Education Foundation and Adjunct Professor at Imperial College Business School. He was formerly Senior Partner of Allen & Overy from 2000 to 2008.
