25 years after Cadbury there is much to celebrate within UK corporate governance. However, it may also be time to rethink some of our underlying assumptions. Corporate governance has become an industry in itself. The focus is too often on how to comply with an overly prescriptive list, rather than choose the structure and processes that help create long-term value. We need to recognise the variety of governance approaches that may work, depending on the context of the organisation. This flexibility in the variety of approaches will help companies in considering what roles a non-executive director (NED) can play.
In this report Tomorrow’s Company sets out the beginning of a framework for boards and NEDs to think about why they should be different, rather than how they can be the same. In doing this the aim is to highlight the existing examples where chairmen, NEDs and company secretaries are already ably managing the increasing governance burden.
